Terms of Service

1. Agreement

By accessing or using Crispy ("Service"), operated by Closyn LLC, doing business as Crispy, a Delaware limited liability company located at 8 The Green, STE A, Dover, Delaware 19901, United States ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Service description

Crispy provides API and MCP (Model Context Protocol) access to LinkedIn functionality. You connect your LinkedIn account through a secure third-party authentication provider. Crispy never stores your LinkedIn credentials. Crispy is not a LinkedIn product and is not endorsed by, sponsored by, or affiliated with LinkedIn Corporation or Microsoft Corporation.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account and access

You must provide accurate information when creating an account. You are responsible for maintaining the security of your API keys and account credentials. You must notify us immediately of any unauthorized use. You are responsible for all activity that occurs under your account.

5. Acceptable use

You agree not to:

• Violate LinkedIn's Terms of Service, User Agreement, or any applicable law or regulation
• Send spam, unsolicited messages, or automated bulk outreach that violates platform policies
• Attempt to circumvent rate limits, safety restrictions, or account quotas
• Share API keys with unauthorized third parties or resell access to the Service
• Use the Service to scrape, harvest, or collect personal data for purposes not permitted by applicable privacy laws
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to harass, stalk, threaten, or harm any individual
• Interfere with or disrupt the Service, servers, or networks connected to the Service

6. LinkedIn platform risks

You acknowledge and agree that:

• The use of third-party automation tools, including Crispy, may violate LinkedIn's Terms of Service or User Agreement. LinkedIn may restrict, suspend, or permanently ban your LinkedIn account for use of automation tools, with or without notice.
• Crispy enforces daily action limits (invitations, messages, searches, profile views, posts, and engagement actions) to reduce the risk of LinkedIn account restrictions. However, these limits do not eliminate the risk entirely.
• You use the Service at your own risk regarding your LinkedIn account status. Closyn LLC is not responsible for any restrictions, suspensions, or bans imposed by LinkedIn on your account as a result of using the Service.
• Crispy is not affiliated with, endorsed by, or connected to LinkedIn Corporation or Microsoft Corporation in any way.

7. Billing and subscriptions

Paid plans are billed monthly or annually via Stripe. Subscriptions renew automatically unless canceled before the end of the current billing period. You can cancel anytime from your dashboard or by contacting us at support@crispy.sh.

• 14-day money-back guarantee: If you are unsatisfied with the Service for any reason, you may request a full refund within 14 days of your initial purchase. To request a refund, contact us at support@crispy.sh. Refunds are processed manually and may take up to 10 business days to appear on your statement. After the 14-day period, no refunds will be issued.
• Price changes: We may change our pricing with at least 30 days' notice. Existing subscriptions will continue at their current rate until the end of their billing period.
• Failed payments: If payment fails, we will attempt to collect payment again. After repeated failures, your subscription may be suspended or canceled.

8. Team and organization accounts

Organization admins can invite team members and manage connected profiles. Each team member controls their own LinkedIn connection and can revoke access at any time. Admins are responsible for ensuring team members comply with these Terms. Upon cancellation of a Team or Agency subscription, pending invitations will be automatically revoked.

9. Intellectual property

The Service, including its code, design, documentation, trademarks, and brand assets, is owned by Closyn LLC. You retain ownership of your data and content. We do not claim rights over content you create or manage through the Service. You grant us a limited license to process your data solely to provide the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless Closyn LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of LinkedIn's Terms of Service or any third-party platform policies
• Your violation of any applicable law or regulation, including data protection laws
• Any claim by a third party related to your use of the Service, including claims arising from messages, content, or outreach you initiate through the Service

11. Limitation of liability

To the maximum extent permitted by law, Closyn LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of the Service. This includes, without limitation, damages arising from LinkedIn account restrictions, suspensions, or bans.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your specific requirements. We do not guarantee the accuracy or completeness of any data obtained through the Service, including LinkedIn data.

13. Termination

We may suspend or terminate your access immediately and without notice if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. You may delete your account and disconnect your LinkedIn at any time from the dashboard. Upon termination:

• Your API keys will be immediately revoked
• Active subscriptions will not be renewed
• Your data will be deleted in accordance with our Privacy Policy
• Sections 10, 11, 12, 15, and 16 survive termination

14. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and delete your account.

15. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

16. General provisions

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Closyn LLC regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure: We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services including LinkedIn.
