1. Agreement
These Terms govern access to Crispy, a service operated by Closyn LLC, doing business as Crispy, at 8 The Green, STE A, Dover, Delaware 19901, United States. By creating an account or using the service, you agree to these Terms. If you use Crispy for an organization, you represent that you can bind that organization.
2. The service
Crispy provides tools for connected LinkedIn accounts, including inbox, contact, campaign, analytics, search, reminder, intelligence, API, and MCP functions. Crispy stores and processes managed contacts, messages, campaign content, activity, and related data to provide those functions. It also uses third-party infrastructure to connect and operate LinkedIn accounts and may use AI to classify conversations or perform analysis a user requests.
Crispy is not a LinkedIn product and is not sponsored, endorsed by, or affiliated with LinkedIn Corporation or Microsoft Corporation.
3. Eligibility and accounts
You must be at least 18 and legally able to enter this agreement. Provide accurate account information, protect credentials and API keys, use appropriate access controls, and promptly report suspected unauthorized use. You are responsible for activity under your account and for users you authorize.
4. Your responsibilities
You are responsible for your instructions, campaigns, messages, content, contact lists, legal bases, notices, consents, and use of personal data through Crispy. You must have all permissions necessary for data you provide or direct us to process and must comply with applicable privacy, marketing, anti-spam, employment, and platform rules.
You must not:
- use Crispy unlawfully, deceptively, fraudulently, or to harass or harm anyone;
- send unlawful spam or outreach or process unlawfully obtained contact data;
- circumvent quotas, rate limits, security, safety controls, or access restrictions;
- share access with unauthorized parties, resell the service without permission, or access another customer's data;
- introduce malicious code, disrupt the service, or probe it without authorization; or
- reverse engineer the service except to the limited extent a restriction is prohibited by law.
5. LinkedIn and third-party services
Your use of LinkedIn remains subject to LinkedIn's terms and enforcement decisions. Third-party automation may lead LinkedIn to limit, suspend, or close an account. Rate limits and safety controls may reduce but do not eliminate that risk. You decide whether to connect an account and accept the platform risk of doing so. Third-party services may change, interrupt, or discontinue functionality outside Crispy's control.
6. Customer data and privacy
You retain your rights in data and content you submit. You grant Crispy the limited rights needed to host, copy, transmit, classify, modify for technical formatting, and otherwise process that data to provide, secure, and support the service and follow your lawful instructions. Our Privacy Policy explains controller processing. For eligible business customers, a DPA is available upon requestand becomes effective only through valid execution or incorporation into a binding agreement.
7. Billing
Paid plans are billed through Stripe according to the price, billing interval, usage limits, renewal terms, and cancellation terms shown at purchase or in an applicable order. Subscriptions automatically renew for the displayed interval unless canceled before renewal. Taxes may apply. A new purchase includes a 14-day money-back guarantee: request a refund from [email protected] within 14 days of the initial purchase. After that period, charges are non-refundable except where an order, written offer, or applicable law says otherwise. Failed or overdue payment may result in restricted or suspended access.
8. Intellectual property and feedback
Crispy and its software, design, documentation, and branding are owned by Closyn LLC or its licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service during your subscription. If you provide feedback, you permit us to use it without restriction or compensation, without identifying you publicly unless you agree.
9. Service changes and availability
We may change, limit, or discontinue features and may perform maintenance. We do not promise uninterrupted or error-free availability. Material changes that significantly reduce a paid service will be handled as required by applicable law or an order.
10. Suspension and termination
You may cancel a subscription, disconnect LinkedIn, or request account deletion. Disconnecting ends the provider connection but does not itself delete all managed data. Cancellation ends renewal but does not immediately hard-delete all data. Retention and deletion are described in the Privacy Policy.
We may suspend or terminate access for a material breach, nonpayment, security risk, unlawful use, risk to another user or third party, or where continued provision is not reasonably possible. Where appropriate, we will provide notice and an opportunity to cure. Terms that by their nature should survive will survive termination.
11. Disclaimers
To the maximum extent permitted by law, Crispy is provided "as is" and "as available." Closyn LLC disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee LinkedIn account status, campaign results, data accuracy, uninterrupted operation, or that the service will meet every requirement. Nothing here excludes a warranty that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by law, Closyn LLC and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, opportunities, or data, arising from the service. Our total aggregate liability relating to the service will not exceed the fees you paid to Crispy in the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.
13. Indemnity
To the extent permitted by law, you will defend and indemnify Closyn LLC and its personnel against third-party claims, losses, and reasonable costs arising from your data, campaigns, messages, unlawful use, breach of these Terms, or violation of another person's rights. We will give reasonable notice and allow you to control the defense, subject to our right to participate and approve a settlement that imposes obligations on us.
14. Changes to these Terms
We may update these Terms. We will post the updated date and provide additional notice of material changes where required. Changes apply prospectively. If you do not accept an update, stop using the service and cancel before it takes effect.
15. Governing law
Delaware law governs these Terms without regard to conflict-of-law rules. Subject to any rights or venue that cannot be waived, state and federal courts in Delaware have exclusive jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
16. General
These Terms, applicable orders, and incorporated policies form the agreement about the service. If a provision is unenforceable, the remainder stays effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations.
